Winter Workshop and Annual General Meeting

MGUG Winter Workshop – February 23, 2017

Join us either in the morning session for the AGM, find out the latest plans for our group, meet the new board members, and have your voice heard; followed by a lunch for AGM participants, or come for the afternoon workshop and listen to fantastic speakers or stay for the whole day!

Board Vacancies and Volunteering
We are looking for a few good board members!
If you would like to nominate someone for the MGUG board (including yourself, or would like to informally volunteer for MGUG, please contact us at info@mgug.ca for more information.


Constitutional Amendments:

At the AGM this year we will be voting on three amendments to the constitution.

The first are two amendments which would ensure that any board member who enters the executive is allotted an additional term of five years. Without this amendment, the board would be forced to prematurely elect an executive that may not be prepared to take on such tasks so that they are able to complete a full term.

Additionally, this amendment would encourage those board members who have the most experience with MGUG to move to a leadership role.

The amendments are as follows:

Article 5: Board of Directors and Officers *Amend Section 25. Director Terms: “Except for the President (see Section 28), all members of the board of directors shall not hold office for more than five (5) consecutive years (with the exception noted in Section 27 for executive terms), but in case of an emergency the membership will consider these terms annually — as these terms will be communicated to the membership at the Annual General Meeting (Section 57).”

*Amend Section 27. MGUG Executive. “The Executive officers of MGUG shall be the President, the Vice-President, the Secretary, the Treasurer, and the Past-President (see Section 50). The signing officers of MGUG may be bonded to a sum as determined by the Board of Directors. A five year term shall be extended to any director transitioning to an executive role. ”

Secondly, we are proposing the addition of a conflict of resolution policy, which clearly states how the board will deal with perceived or apparent conflicts of resolution.

Article 12 (Note: new article) Section 67 Amendment No 4. Conflict of Interest “In situations where there is a perceived or an apparent conflict of interest of a board member, they must disclose this matter either (a) verbally at a board meeting or (b) in writing to the board of directors. In both cases this must be recorded in minutes at the first available opportunity.

In the event of a declared conflict of interest regarding a matter before the board or a committee, after declaring this matter they must recuse themselves from discussions, decisions, or votes on resolutions pertaining to this matter.

Directors found to be in an unresolvable conflict of interest may be dismissed from the Board as per Section 51.”
